HOSPITAL BONDS ISSUANCE OF BONDS OF CRITTENDEN COUNTY IN THE MAXIMUM AGGREGATE PRINCIPAL AMOUNT OF $25,150,000 FOR THE PURPOSE OF FINANCING ALL OR A PORTION OF THE COSTS OF THE CONSTRUCTION AND EQUIPPING OF A NEW MEDICAL SURGICAL HOSPITAL FACILITY (THE'NEW HOSPITAL'). THE NEW HOSPITAL WILL BE LEASED TO BAPTIST MEMORIAL HEALTH CARE CORPORATION, A TENNESSEE NONPORFIT CORPORATION, OR AN AFFILIATE THEREOF ('BAPTIST'). BAPTIST WILL HAVE THE OPTION TO PURCHASE THE NEWHOSPITAL FOR NOMINAL CONSIDERATION ON OR AFTER THE TENTH ANNIVERSARY OF THE OPENING OF THE NEW HOSPITAL IN EXCHANGE FOR BAPTIST'S AGREEMENT TO OPERATE THE NEW HOSPITAL FOR 15 YEARS AFTER BAPTIST PURCHASES THE NEW HOSPITAL. THE BONDS WILL BE SECURED BYA PLEDGE AS COLLATERAL OF THE COLLECTIONS RECEIVED BY THE COUNTY FROM THE LOCAL 1% SALES AND USE TAX CURRENTLY LEVIED WITH THE COUNTY FOR A FIVE (5) YEAR PERIOD BY ORDINANCE NO. 2015-7, AS AMENDED. THAT PORTION OF SUCH TAX COLLECTIONS NOT USED FOR THE PAYMENT OF THE BONDS MAY BE USED FOR OTHER PURPOSES APPROVED BY THE VOTERS. THE BONDS MAY BE ISSUED AT ONE TIME OR IN SERIES FROM TIME TO TIME. PROCEEDS OF THE BONDS MAY FUND A DEBT SERVICE RESERVE AND PAY EXPENSES OF ISSUING THE BONDS. IF THE BONDSAREAPPROVED, THE COUNTY MAY, PRIOR TO THE ISSUANCE OF THE BONDS, OBTAIN SUCH INTERIM FINANCING AS PERMITTED BY

ARKANASAS LAW.
